Unforgettable Occasions — Event Planning Agreement

This Event Planning Agreement is entered into between Unforgettable Occasions ("Vendor/Planner") and the Client.

Retainer

An initial 50% retainer and a signed contract must be secured prior to any services being performed by the Planner. This retainer is non-refundable.

Contracted Services

Includes all services described in the selected package details reviewed and distributed to the Client. Any additional services or products requested by the Client and incurred by the Planner will be billed directly to the Client at cost. All services contracted cannot be deducted, but additional services can be added.

Expiration

The current event date is valid 1-week post origination date to secure services.

Provided Documentation

All documentation created and provided to the Client is owned and copywritten by the Vendor and cannot be used or given to any other 3rd party.

Attire

All associates of Unforgettable Occasions will wear proper attire — blue, black, or brown dresses or suits — on the day of the event.

Liability

Unforgettable Occasions is only liable for services completed and provided by Unforgettable Occasions and cannot be held liable for the services of other contracted vendors or for consequential damages of any kind.

Cancellation Policy

If the event is canceled, no portion of the retainer fees will be returned. If canceled less than 6 months before the date, a 2nd payment will be required. If postponed, services can be applied to a new date if available.

Postponement Policy

If postponed, all services cease at time of notification. Payment schedule will be readjusted post new event date. A second payment will be required at time of service re-start.

Responsibility

The Planner is not responsible for Acts of God, Natural Disasters, Acts of Government, or other incidents not within the Vendor's control. In such cases, a qualified replacement will be obtained at no additional charge.

Overtime

Additional unplanned services are considered overtime and billed at $130 per hour with prior notification and consent.

Costs

Purchased items on behalf of the Client will be billed at cost. Mileage at $0.52 per mile beyond 25 miles.

Damage or Loss

Client is responsible for all loss or damage to rentals up to actual replacement value.

Payment Schedule

50% retainer due upon signing. Remaining balance due 2 weeks before event. Accepted: Cash App ($YolandaClinton) and Venmo (@Yolanda-Clinton-2).

Bounced Payments

$40 per returned payment, $15 per collection notice, $50 fee for cancelled payments, $50 chargeback fee.

Indemnification

Client agrees to defend and hold Planner harmless from all claims, damages, and liabilities arising from this contract.

Attorney

Disputes will first go to mediation. If unresolved, legal action may follow. Prevailing party entitled to attorney fees.

Photo Release

Client grants permission for Planner to use venue photos for business promotion. No personal client information or guest photos will be published.

Governing Law

Delaware law governs this Agreement.

Safe Working Environment

Client agrees to provide safe working conditions. Threatening behavior may result in Planner leaving the event with full payment still owed.

Legal and Binding

This Agreement is legal and binding in the United States and throughout Europe. Any revisions must be made in writing and approved by all parties.
